Welcome to InDecorBD (“we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, products, and services (collectively, the “Services”).

By accessing our website, placing an order, or using any part of our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1) Eligibility and Acceptance

1.1 By using our Services, you confirm that you are legally capable of entering into a binding agreement under applicable law.

1.2 If you use the Services on behalf of another person, business, or entity, you represent that you have authority to bind them to these Terms.
1.3 We may refuse service, reject orders, restrict access, or cancel transactions at our sole discretion, subject to applicable law.

2) Definitions

For these Terms:

  • “Order” means a request placed by you to purchase products from us.
  • “Products” means goods sold by InDecorBD.
  • “Services” includes the website, checkout, customer support, and all related offerings.
  • “Content” means all text, images, graphics, product descriptions, logos, videos, and other material on our website.
  • “Replacement Policy” means our separate policy governing replacements, returns, cancellations, and non-refund rules.

If there is any conflict between these Terms and a specific policy (e.g., Privacy Policy, Replacement Policy), the more specific policy will control for that subject matter.

3) Product Information and Availability

3.1 We try to ensure product descriptions, images, specifications, pricing, and stock status are accurate. However, errors, delays, omissions, or variations may occur.

3.2 Product images are for illustration and may vary slightly due to lighting, screen settings, handmade/custom finishing, material texture, batch variation, or packaging changes. Such variation does not automatically qualify as defect, wrong item, or misrepresentation.
3.3 All products are subject to availability. We reserve the right to discontinue, limit, substitute, or modify any product without prior notice.
3.4 We do not guarantee that every product shown on the website will be available for immediate dispatch.

4) Orders and Contract Formation

4.1 Placing an order does not automatically mean we accept it.

4.2 Your order becomes accepted only when we confirm it through processing, shipment initiation, or other clear acceptance from our side.
4.3 We may decline or cancel an order before or after confirmation if:

  • the item is unavailable,
  • pricing or listing errors occurred,
  • fraud or misuse is suspected,
  • delivery is not feasible,
  • required information is missing or unverifiable, or
  • the order violates these Terms.

4.4 We may contact you to verify identity, delivery details, or order authenticity before processing.

5) Pricing, Fees, and Payment

5.1 All prices are listed in the currency shown on the website unless stated otherwise.

5.2 Prices, promotions, and offers may change at any time without notice.
5.3 Delivery charges, handling fees, packaging charges, or applicable taxes (if any) may be added at checkout or during order confirmation.
5.4 In the event of a pricing, discount, or listing error, we may:

  • cancel the order,
  • correct the price, or
  • contact you for revised confirmation.

5.5 We may offer prepaid and/or cash on delivery (“COD”) options depending on order type, product, location, and risk checks.

5.6 Payment processing may be handled by third-party providers. By making a payment, you agree to their applicable terms in addition to ours.

6) Promotions, Coupons, and Discounts

6.1 Promo codes, coupons, and offers:

  • are time-limited unless stated otherwise,
  • may be product-specific, order-specific, or user-specific,
  • may not be combined unless expressly allowed,
  • may be withdrawn, paused, or modified at any time.

6.2 We may cancel or reverse promotional benefits if:

  • the code was used in violation of campaign conditions,
  • there was a system error,
  • abuse, duplication, fake orders, or manipulation is detected.

6.3 If a promotional order is canceled or adjusted, we may recalculate the order value accordingly.

7) Shipping and Delivery

7.1 Delivery timelines shown on the website, in chat, or by support are estimates only and are not guaranteed unless expressly stated in writing.

7.2 Delays may occur due to courier issues, weather, political disruptions, strikes, holidays, supply issues, incorrect addresses, customer unavailability, force majeure, or third-party failures.
7.3 Risk of delay in transit does not automatically entitle you to cancellation, refund, compensation, or damages.
7.4 You are responsible for providing accurate delivery information, including name, address, landmark, and active phone number.
7.5 If a delivery fails due to incorrect details, refusal, unreachable number, or repeated non-acceptance, additional delivery charges, re-delivery fees, or restrictions may apply.

8) Inspection on Delivery

8.1 You must inspect the package and product as soon as reasonably possible after delivery.

8.2 Any issue relating to damage, defect, wrong item, or missing item must be reported within the timeframes stated in our Replacement Policy.
8.3 Failure to inspect and report within the required window may result in rejection of your claim.

9) Replacement, Return, Cancellation, and No Refunds

9.1 All matters related to damaged, defective, incorrect, missing, returnable, replaceable, or cancelable orders are governed by our Replacement Policy.

9.2 No cash refunds are provided unless we expressly state otherwise in writing for a specific case.
9.3 Your remedy, where approved, is limited to:

  • replacement of the item,
  • replacement with an equivalent item, or
  • store credit, in accordance with the Replacement Policy.

9.4 Change of mind, dislike, mistaken orders, preference changes, or similar reasons do not create a right to return, refund, or replacement unless expressly provided in the Replacement Policy.

10) Custom, Personalized, and Made-to-Order Items

10.1 Custom or personalized items may vary slightly from previews, mockups, or examples unless exact specifications were expressly guaranteed.

10.2 You are responsible for reviewing custom details (size, spelling, color, design, quantity, personalization data) before confirming your order.
10.3 Custom/personalized items are generally non-cancelable once production, preparation, or processing begins.
10.4 Such items are not returnable or replaceable except in cases of our verified error, verified transit damage, or verified defect covered by the Replacement Policy.

11) Customer Responsibilities

By using our Services, you agree:

  • to provide true, current, and complete information,
  • not to place fake, abusive, or fraudulent orders,
  • not to misuse promo codes, replacement claims, or payment systems,
  • not to harass, threaten, abuse, or defame our staff, agents, or partners,
  • not to engage in chargeback abuse or false non-delivery claims.

We may suspend, restrict, or permanently block users who violate these Terms.

12) Account and Website Access

12.1 If we provide account functionality, you are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

12.2 We may suspend or terminate accounts that are inactive, suspicious, abusive, unlawful, or in breach of these Terms.
12.3 We are not responsible for unauthorized access resulting from your failure to secure your device or credentials.

13) Intellectual Property

13.1 All website Content—including logos, branding, product photos, graphics, designs, text, layout, icons, and original materials—is owned by or licensed to InDecorBD and is protected by applicable intellectual property laws.

13.2 You may not copy, reproduce, republish, modify, distribute, scrape, sell, or exploit any Content without our prior written permission.
13.3 Unauthorized use of our branding, product images, or listings may result in legal action, reporting, takedown requests, and service restrictions.

14) User-Submitted Content

14.1 If you submit reviews, messages, photos, tags, testimonials, suggestions, or other content to us, you grant us a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, display, adapt, and publish that content for operational, marketing, and business purposes.

14.2 You confirm that:

18) Disclaimer of Warranties

  • all descriptions, stock statuses, images, and content will always be complete or current,

19.2 This includes, without limitation, loss of profit, loss of data, loss of business, reputational harm, delay-related loss, courier issues, or dissatisfaction arising from matters outside our direct control.
19.3 Our total liability for any claim relating to a product or order will not exceed the amount actually paid by you for the specific affected product, except where such limitation is prohibited by law.
19.4 Where our Replacement Policy applies, your exclusive remedy is the remedy stated there.

20) Indemnity

You agree to defend, indemnify, and hold harmless InDecorBD and its affiliates, owners, staff, and service providers from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal costs) arising from:

  • your breach of these Terms,
  • your misuse of the Services,
  • your violation of law,
  • your infringement of any third-party right, or
  • your fraudulent, abusive, or harmful conduct.

21) Force Majeure

We are not responsible for any delay, failure, suspension, or inability to perform caused by events beyond our reasonable control, including but not limited to:

  • natural disasters, flood, fire, earthquake,
  • war, civil unrest, strikes, blockades, political disruption,
  • internet, power, server, platform, or telecom failure,
  • courier shutdowns or transport disruption,
  • governmental orders, restrictions, or legal changes.

During such events, our obligations may be suspended, delayed, or modified without liability.

22) Suspension and Termination

22.1 We may suspend or terminate your access to the Services immediately, with or without notice, if we believe you violated these Terms, applicable law, or our policies.

22.2 Termination does not affect rights or obligations that accrued before termination.
22.3 Provisions that by nature should survive termination (e.g., intellectual property, liability limits, indemnity, dispute provisions) will continue to apply.

23) Governing Law and Dispute Resolution

23.1 These Terms are governed by the laws applicable in Bangladesh, unless mandatory law requires otherwise.

23.2 You agree to attempt to resolve any dispute with us first by contacting us directly and allowing a reasonable opportunity for informal resolution.
23.3 If a dispute cannot be resolved informally, it will be subject to the competent courts/authorities of Bangladesh, unless otherwise required by law.

24) Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

25) No Waiver

Our failure to enforce any right or provision of these Terms does not mean we waive that right or provision. Any waiver must be in writing to be effective.

26) Entire Agreement

These Terms, together with our Privacy Policy, Replacement Policy, and any specific policy or order terms expressly referenced by us, constitute the entire agreement between you and InDecorBD regarding the Services and supersede prior discussions relating to the same subject matter.

27) Changes to These Terms

27.1 We may update, modify, or replace these Terms at any time by posting the revised version on our website.

27.2 The updated version becomes effective once posted, unless a different effective date is stated.
27.3 Your continued use of the Services after updates are posted means you accept the revised Terms.
